Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Embeea Technologies, Inc., a Georgia corporation ("Embeea," "Company," "we," "us," or "our"), governing your access to and use of the Embeea workforce management and training platform (the "Service").

Important: By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

Description of Service

Embeea is a cloud-based workforce management platform designed for janitorial and facilities management companies. The Service includes:

Workforce training and learning management
Time clock and attendance tracking
Quality inspection and reporting tools
Route and task management
Communication and notification features
AI-powered translation and assistance

User Accounts

To use the Service, you must have an account created by your organization's administrator. You agree to:

Provide accurate and complete information
Maintain the security of your login credentials
Notify us immediately of any unauthorized access
Accept responsibility for all activity under your account
Not share your account credentials with others

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

Prohibited Actions

Falsify time records or inspection data
Access accounts of other users
Upload malicious code or viruses
Attempt to bypass security controls
Use automated bots or scrapers
Reverse engineer the Service

Permitted Use

Access your own employment records
Complete assigned training courses
Submit accurate time entries
Report issues to administrators
Export your personal data
Use features as intended

Intellectual Property

The Service and its original content, features, and functionality are owned by Embeea Technologies, Inc. and are protected by international copyright, trademark, and other intellectual property laws.

Our Content: All software, designs, text, graphics, and other materials are our property
Your Content: You retain ownership of data you upload (photos, notes, etc.)
License to Us: You grant us a license to use your content to provide the Service
Organization Content: Training materials created by your organization belong to them

Data & Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

Disclaimers

SERVICE "AS IS"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee uninterrupted or error-free service
We are not responsible for decisions made based on Service data
Training content is for educational purposes and may not replace professional certifications
GPS accuracy depends on device capabilities and environmental factors

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EMBEEA, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your access to or use of (or inability to use) the Service
Any conduct or content of any third party on the Service
Unauthorized access, use, or alteration of your data
Any other matter relating to the Service

Indemnification

You agree to defend, indemnify, and hold harmless Embeea and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any claim that your content caused damage to a third party.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Your organization may terminate your access at any time
You may request account deletion via Settings
Upon termination, your right to use the Service will cease immediately
Provisions that should survive termination will remain in effect

Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
